01 Acceptance of Terms

By using our website, contacting us, downloading any resources, or purchasing any service from MAIS, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you do not agree to these Terms, please do not use our website or services. These Terms apply to all visitors, users, and clients.

02 Services Provided

Mechanic AI Systems provides AI-powered business automation services for mechanical contractors, including but not limited to:

• AI Receptionist (24/7 automated call answering and booking)
• Missed-Call Text-Back automation
• AI Chatbot for websites
• Automated review collection and reputation management
• AI-assisted website design and development
• Search engine optimization (SEO) services

All services are provided on a subscription basis unless otherwise stated. Service scope, deliverables, and timelines will be outlined at the time of purchase or in a separate service agreement.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to active clients.

03 Payment & Billing

All subscription services are billed on a monthly basis unless otherwise agreed. Prices are stated in Canadian or US dollars as indicated at the time of purchase.

• Payment is due at the start of each billing cycle
• We accept major credit cards and other payment methods as indicated at checkout
• All prices are exclusive of applicable taxes (HST/GST may apply for Canadian clients)
• Invoices are sent via email to the address provided at signup
• Failed payments may result in service suspension after reasonable notice

We reserve the right to update pricing with 30 days written notice to existing clients. Continued use of services after the notice period constitutes acceptance of new pricing.

04 Cancellation Policy

All MAIS service plans are month-to-month with no long-term contracts. You may cancel at any time.

• Cancellations must be submitted at least 7 days before your next billing date to avoid being charged for the following month
• Upon cancellation, your service will remain active until the end of the current paid billing period
• We do not offer refunds for partial months or for services already rendered
• Setup fees, if any, are non-refundable

05 Client Obligations

As a client of MAIS, you agree to:

• Provide accurate and complete information required for us to set up and operate your services
• Review and approve AI scripts, chatbot flows, and automated messaging before they go live
• Ensure all content you provide to us does not infringe any third-party rights
• Use our services only for lawful business purposes
• Not use our services to send unsolicited communications or spam
• Maintain the confidentiality of any login credentials provided
• Notify us promptly of any unauthorized use of your account

You are responsible for obtaining proper consent from your customers before we send them automated messages on your behalf, including SMS communications.

06 Intellectual Property

All content, designs, code, and materials created by MAIS remain the intellectual property of Mechanic AI Systems unless otherwise agreed in writing.

• Upon full payment, you receive a license to use deliverables (websites, scripts, etc.) for your business purposes
• You may not resell, redistribute, or sublicense MAIS-created materials without written consent
• MAIS retains the right to showcase completed work in our portfolio unless you request otherwise in writing
• Any content or materials you provide to us remain your property

07 Limitation of Liability

Our total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total amount paid by you to MAIS in the three months preceding the claim.

We do not guarantee specific results from our services, including specific call volumes, lead counts, revenue increases, or search engine rankings. Results vary based on market conditions, your business, and other factors outside our control.

08 Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that services will be uninterrupted, error-free, or completely secure
• Warranties regarding the accuracy or completeness of AI-generated content

AI systems may occasionally produce errors. You are responsible for reviewing AI-generated content before it is deployed to your customers. MAIS is not liable for errors in AI outputs that have been approved and deployed by you.

09 Termination

Either party may terminate the service relationship at any time in accordance with the Cancellation Policy above.

MAIS reserves the right to immediately suspend or terminate services without refund if:

• You violate these Terms of Service
• You use our services for illegal, fraudulent, or harmful purposes
• You fail to make payment after reasonable notice
• Continued service would expose MAIS to legal or reputational risk

Upon termination, your access to MAIS-managed systems and accounts will be revoked. We will provide reasonable assistance in transitioning your data upon request.

10 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of our services shall be resolved through good-faith negotiation first. If unresolved, disputes shall be submitted to binding arbitration or the courts of Ontario, Canada.

11 Changes to Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated effective date. For material changes, we will notify active clients by email at least 14 days before the changes take effect.

Continued use of our services after the effective date of changes constitutes your acceptance of the updated Terms.
